At a glance
- Finnovator supplies an online CFO reporting platform to businesses. You connect your accounting software or upload files; the Platform produces dashboards, KPIs, ratios, forecasts and analytics, and you can ask questions through Support Chat.
- The Platform gives you management information. It is not bookkeeping, not an audit, not regulated tax or investment advice, and not a retained human CFO. You stay responsible for your own records, filings and decisions.
- Outputs, including AI-assisted outputs, depend on the data you supply and may contain errors. Apply human review before acting on them.
- You own your data. We do not sell it and we do not use identifiable customer data to train general-purpose AI models.
- These Terms are for business customers only. They are not available to consumers.
This summary is for convenience only. It is not part of the Agreement and does not vary the Terms below.
Scope of these Terms
These Terms and Conditions of Supply (Terms) govern the supply by Finnovator Ltd of its online CFO reporting platform and related services to business customers. Part A sets out the core contract terms. Part B sets out the terms on which anyone may use the Finnovator website. Schedule 1 is the service description framework completed by each Order Form. Schedule 2 is the data processing addendum. Schedule 3 records the version history.
The plain-English summary shown above is provided for convenience only. It is not part of the Agreement and does not vary these Terms.
PART A — CORE TERMS
1. Interpretation
1.1 In this Agreement, the following definitions apply.
1.2 Agreement means these Terms, the applicable Order Form, any Statement of Work, the DPA and any document expressly incorporated by reference.
1.3 Authorised User means an employee, officer, worker, adviser or contractor of the Customer whom the Customer authorises to use the Platform for its internal business purposes.
1.4 Business Day means a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.
1.5 Customer means the business identified in the Order Form. Customer Data means all data, files, records and other content submitted to, collected by or made available to the Services by or for the Customer, including data received through accounting-software or API integrations and Excel or CSV uploads. Customer Data excludes Aggregated Data.
1.6 Data Protection Laws means the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 and any other applicable law relating to the processing of personal data, in each case as amended or replaced.
1.7 Deliverables means reports, models, analyses, presentations or other work product expressly identified as deliverables in a Statement of Work, but excludes the Platform, Documentation, Finnovator Materials and generic templates or methodologies.
1.8 Documentation means Finnovator's then-current user instructions and technical or support materials for the Services.
1.9 DPA means the data processing terms in Schedule 2 or a replacement data processing addendum signed by the parties.
1.10 Effective Date, Fees, Initial Term, Renewal Term, Subscription Plan, usage limits and number of Authorised Users have the meanings stated in the Order Form.
1.11 Finnovator means FINNOVATOR LTD, a company incorporated in England and Wales with company number 16630713 and registered office at 2nd Floor College House, 17 King Edwards Road, Ruislip, London, United Kingdom, HA4 7AE.
1.12 Finnovator Materials means the Platform, software, algorithms, prompts, models, interfaces, Documentation, templates, methods, know-how, configurations, improvements and all materials developed independently of a Statement of Work or having general application.
1.13 Intellectual Property Rights means all intellectual property and analogous rights anywhere in the world, whether registered or unregistered, including copyright, database rights, patents, trade marks, design rights, confidential information and rights in software and inventions.
1.14 Order Form means an ordering document, proposal or online order accepted by both parties that identifies the Services and commercial terms.
1.15 Platform means Finnovator's hosted SaaS CFO platform made available through finnovator.co.uk or another notified URL, including dashboards, KPIs, forecasts, analytics, integrations and related functionality.
1.16 Professional Services means implementation, configuration, data mapping, training, CFO advisory, financial modelling or analysis expressly included in an Order Form or Statement of Work.
1.17 Services means the Platform subscription, Support Chat and any Professional Services purchased under an Order Form.
1.18 Statement of Work or SOW means a document agreed by the parties describing Professional Services, assumptions, dependencies, milestones, Deliverables and Fees.
1.19 Support Chat means the messaging feature or other notified channel through which Authorised Users may ask questions about access, integrations, uploaded files, reports, ratios and use of the Platform.
1.20 Term means the Initial Term together with any Renewal Term.
1.21 Third-Party Service means a third-party accounting platform, bank-feed provider, API, cloud service, AI model provider or other external service that interoperates with or supports the Services.
1.22 The words including and include are illustrative and do not limit the preceding words. Headings do not affect interpretation. References to laws include amendments and replacements. If documents conflict, the descending order of precedence is: signed DPA for data-protection matters; SOW for its specific scope; Order Form; these Terms; Documentation.
2. Formation, scope and term
2.1 An Agreement is formed when the Customer completes an online purchase or registration process that links to these Terms, clicks to accept these Terms, signs or otherwise accepts an Order Form, or first accesses paid Services after being told that these Terms apply. The individual accepting confirms that they have authority to bind the Customer. Each Order Form forms part of one Agreement unless it expressly states otherwise.
2.2 Where the Customer contracts online, the technical steps to conclude the contract are: (a) selecting a Subscription Plan; (b) entering registration, billing and payment details; (c) reviewing the on-screen order summary and correcting any input errors using the edit and back functions before submitting; (d) confirming acceptance of these Terms; and (e) submitting the order. Finnovator will acknowledge receipt by email. The contract is concluded when Finnovator confirms activation of the Services or first provides access, whichever is earlier. Finnovator records the concluded contract in its systems and will supply a copy on request; the Customer should also retain its confirmation email and a copy of these Terms. The contract is concluded in the English language only.
2.3 The Platform allows finance teams, CFOs and other Authorised Users to connect supported accounting systems or upload financial data, generate management reports and financial ratios, view dashboards and analytics, and raise questions through Support Chat. The precise Subscription Plan, entities, users, data limits and any human advisory services are those shown at online checkout or in the applicable Order Form or SOW.
2.4 The Services are supplied only to customers acting for purposes relating to their trade, business, craft or profession. They are not offered to consumers. By accepting these Terms the Customer warrants that it is acting for business purposes and is not a consumer, and acknowledges that rights applying to consumer contracts, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, do not apply. Finnovator may decline or cancel a registration that appears to be made by a consumer and will refund Fees paid for the unused period.
2.5 Statements in demonstrations, roadmaps, competitor materials or marketing pages do not create binding commitments unless included in an accepted Order Form or SOW.
2.6 The Agreement begins on the Effective Date and continues for the Initial Term. It then renews for successive Renewal Terms equal to the Initial Term, or 12 months if the Order Form is silent, unless either party gives at least 30 days' written notice before the end of the current term.
2.7 A trial or beta service may be provided for the period and on the limits notified by Finnovator. It may be changed or withdrawn at any time, is supplied as available and without service commitments, and must not be used for production-critical activity unless Finnovator agrees otherwise in writing.
3. Access rights and Authorised Users
3.1 Subject to payment of the Fees and compliance with the Agreement, Finnovator grants the Customer a non-exclusive, non-transferable and non-sublicensable right during the Term for its Authorised Users to access and use the Services and Documentation solely for the Customer's internal business purposes.
3.2 The Customer must keep accounts and credentials secure, use reasonable access controls and multi-factor authentication where available, promptly disable access for departed or unauthorised users, and notify Finnovator without undue delay of suspected compromise.
3.3 The Customer is responsible for its Authorised Users and for all activity through its accounts except to the extent caused by Finnovator's breach. User accounts may not be shared. Usage and user limits in the Order Form apply.
3.4 The Customer must not: copy, modify or create derivative works from the Platform except as permitted by law; reverse engineer or seek source code; bypass security or usage controls; scrape or access the Services by unauthorised automated means; introduce malicious code; interfere with other users; use the Services to build or benchmark a competing product; resell or make the Services available to third parties; or use the Services unlawfully, fraudulently or to infringe another person's rights.
3.5 Finnovator may monitor usage to operate, secure and verify compliance with the Agreement. Any audit will be proportionate, normally based on system records, and will not unreasonably disrupt the Customer.
4. Platform and service delivery
4.1 Finnovator will provide the Services with reasonable skill and care and materially in accordance with the Documentation and applicable SOW.
4.2 Finnovator may update the Services to improve functionality, security, legal compliance or performance. It will not materially reduce the core functionality purchased during a paid term without providing reasonable notice and, if the reduction materially prejudices the Customer and is not remedied, a right to terminate the affected Service and receive a pro-rata refund of prepaid unused Fees.
4.3 The Platform is hosted using Google Cloud Platform infrastructure in the UK region unless the Order Form states otherwise. Google Cloud maintains its own assurance programmes and SOC reports for relevant services. This statement does not represent that Finnovator itself is SOC 2 certified or audited.
4.4 Finnovator may use employees, affiliates and subcontractors to provide the Services, including cloud hosting, communications, support tooling and approved AI functionality, and remains responsible for their performance to the extent required by the Agreement.
4.5 Unless an Order Form states service levels, Finnovator does not guarantee uninterrupted availability or a particular response or resolution time. Planned maintenance, emergency maintenance, Third-Party Services and events outside reasonable control may affect availability.
4.6 Finnovator may suspend affected access where reasonably necessary to prevent or address a security risk, unlawful use, material breach, non-payment, harm to the Services or third parties, or a legal requirement. Where practicable, Finnovator will give notice, limit the suspension and restore access promptly once the cause is resolved.
5. Integrations, uploads and dependencies
5.1 The Customer may connect supported accounting software and other Third-Party Services or upload Excel, CSV and similar files. The Customer authorises Finnovator to access, receive, transform, host and transmit Customer Data as necessary to provide the requested functionality.
5.2 The Customer is responsible for obtaining and maintaining all third-party accounts, licences, consents, API permissions and credentials. It must comply with Third-Party Service terms and ensure that Finnovator is lawfully authorised to process imported data.
5.3 Third-Party Services are controlled by their providers. Changes to an API, data format, permission, rate limit, availability or commercial terms may delay, restrict or discontinue an integration. Finnovator will use reasonable efforts to maintain supported integrations but is not responsible for third-party acts, omissions, outages or data accuracy.
5.4 The Customer is responsible for reviewing import mappings, file formats, opening balances, classifications and reconciliation results. Finnovator is not liable for errors originating in source systems, files, credentials or Customer instructions.
5.5 If an integration becomes impracticable, insecure or unlawful, Finnovator may suspend or withdraw it on reasonable notice where practicable. The parties may agree an alternative workflow, including manual export and upload, and any material additional work may be chargeable under an SOW.
6. Customer obligations and compliance
6.1 The Customer must provide timely, accurate and complete information, decisions, personnel access and cooperation reasonably required to provide the Services; maintain compatible systems and connectivity; and meet dependencies and deadlines in an SOW.
6.2 The Customer warrants that it has all rights, notices, lawful bases and permissions required for Customer Data and Finnovator's processing of it under the Agreement, and that Customer Data and instructions do not infringe rights or law.
6.3 The Customer remains responsible for its accounting records, filings, tax positions, internal controls, regulatory obligations and business decisions. It must maintain independent backups or source-system records appropriate to its business-continuity needs.
6.4 Delays or additional work caused by the Customer or its suppliers may result in adjusted dates and reasonable additional Fees, subject to prior notice where practicable.
6.5 Each party will comply with applicable laws relating to anti-bribery and anti-corruption (including the Bribery Act 2010), anti-money-laundering and counter-terrorist financing, modern slavery (including the Modern Slavery Act 2015), and applicable sanctions and export-control regimes, and will not act in a way that causes the other to breach them.
6.6 The Customer must not access or use the Services from, or make them available to, any person, entity or territory subject to applicable sanctions, and warrants that it is not itself a sanctioned person. Finnovator may suspend or terminate the Services immediately where it reasonably believes this clause has been breached.
7. Dashboards, forecasts, AI-assisted outputs and advisory boundary
7.1 Reports, financial ratios, dashboards, KPIs, forecasts, analytics, alerts and AI-assisted outputs depend on Customer Data, accounting periods, classifications, mappings, assumptions, models and third-party information. They may contain errors, omissions, approximations or outdated information and are not guarantees of future performance.
7.2 AI-assisted features may generate probabilistic content. The Customer must apply appropriate human review and must not rely on an AI-assisted output as the sole basis for a material financial, legal, tax, employment, credit or regulatory decision.
7.3 The standard online subscription provides software-generated management information and customer support, not outsourced bookkeeping or a retained human CFO. Unless an Order Form or SOW expressly includes Professional Services, answers through Support Chat explain the Platform and its outputs and do not constitute audit, assurance, legal, tax, regulated investment, lending or insolvency advice. Finnovator does not act as the Customer's statutory director, auditor, accountant of record, tax agent, investment adviser or fiduciary.
7.4 Finnovator Ltd is a technology company. It is not a firm registered or regulated by the Institute of Chartered Accountants in England and Wales, is not a registered auditor, and is not authorised or regulated by the Financial Conduct Authority. Nothing supplied under this Agreement constitutes audit, assurance, the preparation of statutory accounts as a regulated activity, regulated tax agency work, regulated investment advice, credit broking, insolvency advice or any other regulated activity. Where the Customer requires services of that kind, they must be engaged separately from an appropriately regulated firm under a separate engagement letter, and Finnovator's obligations and liability under this Agreement do not extend to them.
7.5 Where CFO advisory or other Professional Services are scoped, Finnovator will perform them with reasonable skill and care based on information available at the time. The Customer retains decision-making authority and is responsible for obtaining specialist advice where appropriate.
7.6 Nothing in the Agreement requires disclosure of Finnovator's model weights, system prompts, proprietary algorithms or other Finnovator Materials.
8. Support and Professional Services
8.1 Authorised Users may use Support Chat to report technical issues and ask questions about connections, data imports, reports, ratios and Platform operation. Support Chat is not an emergency, real-time or continuous monitoring service. Channels, operating hours and target response times are those stated at online checkout, in the Order Form or in the Documentation. Targets are objectives unless expressly described as service levels with a stated remedy.
8.2 Finnovator may use automated tools to triage or draft Support Chat responses. Where a response is AI-assisted, it remains subject to the limitations in clause 7. The Customer must not use Support Chat to send unnecessary special-category personal data, payment-card details, passwords or authentication secrets.
8.3 Professional Services will be delivered in accordance with the applicable SOW. Changes to scope, assumptions, dependencies, Deliverables or timing require written agreement and may affect Fees and milestones.
8.4 The Customer must review Deliverables promptly and notify Finnovator within 10 Business Days of any material non-conformity against express acceptance criteria. Finnovator will use reasonable efforts to correct a notified non-conformity. A Deliverable will be treated as accepted when used in production, expressly accepted, or not rejected with reasonable detail within that period.
8.5 Finnovator may rely on Customer Data and Customer instructions without independently auditing or verifying them unless the SOW expressly requires verification.
8.6 During the Term and for six months afterwards, neither party will directly solicit for employment or engagement any individual materially involved in delivering or receiving Professional Services, except through a general recruitment advertisement not targeted at that individual. This clause does not restrict either party from employing a person who responds to such an advertisement.
9. Fees, invoicing and taxes
9.1 The Customer must pay the Fees and any agreed expenses in the amounts and on the dates stated in the Order Form or SOW. Unless stated otherwise, subscription Fees are invoiced in advance and are non-cancellable and non-refundable except as expressly provided in the Agreement.
9.2 Fees displayed online or in an Order Form exclude VAT unless expressly stated otherwise. The Customer must pay VAT and similar taxes where applicable and may not set off or withhold amounts except where required by law. Finnovator may use a third-party payment provider, whose separate terms and privacy notice may apply to payment processing.
9.3 If an undisputed invoice remains unpaid 14 days after written notice, Finnovator may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and suspend the affected Services until payment.
9.4 Finnovator may change Fees for a Renewal Term by giving at least 60 days' notice before that Renewal Term. Additional users, entities, data volumes, modules or work beyond agreed limits may be charged at the then-current or agreed rates.
9.5 The Customer must raise a good-faith invoice dispute within 15 Business Days of the invoice date, giving reasonable details, and must pay the undisputed portion on time.
9.6 Where the Customer purchases online by recurring card or direct-debit payment, it authorises Finnovator and its payment provider to collect the Fees on each renewal date until the subscription is cancelled under clause 2.6. Finnovator will send a renewal reminder to the Customer's registered administrator email address at least 30 days before each Renewal Term begins. The Customer may cancel through in-product account settings or by written notice under clause 20.1.
10. Security and business continuity
10.1 Finnovator will maintain appropriate technical and organisational measures designed to protect Customer Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access, taking account of the nature of the processing and risk. Measures may include access controls, encryption in transit and at rest where appropriate, logging, vulnerability management, backups and incident procedures.
10.2 No internet or cloud service is completely secure or error-free. Finnovator does not warrant that the Services will be immune from every vulnerability, attack or interruption.
10.3 Finnovator will notify the Customer without undue delay after becoming aware of a personal data breach affecting Customer Personal Data and will provide information reasonably available to support the Customer's compliance obligations, subject to the DPA.
10.4 The Customer is responsible for endpoint security, user administration, secure configuration, appropriate segregation of duties, and promptly applying Finnovator's reasonable security guidance.
11. Data protection
11.1 Each party will comply with applicable Data Protection Laws. The parties' controller and processor responsibilities are set out in Schedule 2.
11.2 For account administration, billing, relationship management, security and Finnovator's own legal obligations, Finnovator may act as an independent controller in accordance with its privacy notice available at finnovator.co.uk/privacy.
11.3 Where Finnovator processes personal data in Customer Data on the Customer's behalf, the Customer is controller and Finnovator is processor unless Data Protection Laws require a different characterisation.
11.4 If a signed data processing addendum conflicts with Schedule 2, the signed addendum prevails for data-protection matters.
12. Customer Data, Aggregated Data and data use
12.1 As between the parties, the Customer retains all right, title and interest in Customer Data. The Customer grants Finnovator and its subprocessors a non-exclusive, worldwide licence during the Term, and for any limited post-termination retention period, to host, copy, transmit, transform and otherwise process Customer Data only to provide, secure, support and comply with law in relation to the Services.
12.2 Finnovator will not sell Customer Data. Finnovator will not use identifiable Customer Data to train a general-purpose AI model or make it available to another customer unless the Customer gives express written agreement to a separately described use.
12.3 Finnovator may create and use statistics, telemetry and data derived from use of the Services only where they are aggregated and/or anonymised so that neither the Customer nor any individual is reasonably identifiable (Aggregated Data). Finnovator may use Aggregated Data to operate, secure, analyse and improve its services, develop benchmarks and produce insights, provided it does not attempt to re-identify it or disclose it in a way that identifies the Customer.
12.4 The rights in clause 12.3 may continue after termination because properly anonymised Aggregated Data is not Customer Data or personal data. If data can reasonably be linked back to the Customer or an individual, it remains subject to the Customer Data licence, confidentiality obligations and DPA.
12.5 The Customer may request configuration of optional AI features where available. Any separate use of Customer Data for model fine-tuning, product research or a customer case study requires express written agreement describing purpose, safeguards and withdrawal or retention terms.
13. Intellectual property
13.1 Finnovator and its licensors own all Intellectual Property Rights in the Finnovator Materials and Services, including improvements and modifications. No rights transfer except the limited access right in clause 3.
13.2 The Customer owns its Customer Data, Customer branding and bespoke Deliverables to the extent the applicable SOW expressly states that ownership transfers and all related Fees have been paid. Otherwise, Finnovator grants the Customer a perpetual, non-exclusive licence to use paid Deliverables for its internal business purposes.
13.3 Finnovator retains ownership of Finnovator Materials embedded in a Deliverable and grants the Customer a perpetual, non-exclusive licence to use those embedded materials only as part of the Deliverable for its internal business purposes.
13.4 The Customer grants Finnovator a licence to use Customer branding solely to provide and configure the Services. Finnovator may not identify the Customer publicly or use its name or logo in marketing without prior written consent.
13.5 If the Customer provides feedback, Finnovator may use it without restriction or payment, provided the feedback does not include Customer Confidential Information or grant Finnovator rights in Customer Data.
14. Confidentiality
14.1 Each receiving party must keep the disclosing party's Confidential Information confidential, use it only to perform or enforce the Agreement, and disclose it only to personnel, advisers and subcontractors who need to know it and are bound by confidentiality obligations.
14.2 Confidential Information excludes information the receiving party can show: is public other than through breach; was lawfully known without restriction; is lawfully received from a third party without restriction; or is independently developed without use of the disclosed information.
14.3 A receiving party may disclose information where legally required, but where lawful will give prompt notice and reasonable assistance to seek protective treatment.
14.4 Each party will protect the other's Confidential Information using at least reasonable care. Customer Data is Customer Confidential Information; the non-public Services, Documentation, security information and pricing are Finnovator Confidential Information.
14.5 These obligations continue for five years after termination, except for trade secrets and personal data, which remain protected for so long as they retain that character or Data Protection Laws require.
15. Warranties and disclaimers
15.1 Each party warrants that it has authority to enter into the Agreement. Finnovator warrants that it will provide the Services with reasonable skill and care.
15.2 If Finnovator materially breaches the warranty in clause 15.1, the Customer's primary remedy is re-performance or correction following prompt notice. If Finnovator cannot remedy a material breach within a reasonable period, the Customer may terminate the affected Service and receive a pro-rata refund of prepaid unused Fees.
15.3 Except as expressly stated, and to the fullest extent permitted by law, the Services and Deliverables are provided as available and all implied warranties and conditions are excluded, including satisfactory quality, fitness for a particular purpose and non-infringement.
15.4 Finnovator does not warrant that the Services will be uninterrupted or error-free, that all defects will be corrected, or that outputs will be complete, accurate or suitable for a particular decision. This clause does not reduce Finnovator's express obligations under an SOW or the DPA.
16. Intellectual property claims
16.1 Finnovator will defend the Customer against a third-party claim that authorised use of the unmodified Platform infringes that third party's UK Intellectual Property Rights and will pay damages finally awarded or an approved settlement, subject to this clause and clause 17.
16.2 The Customer must promptly notify Finnovator, give Finnovator sole control of defence and settlement, make no admission, and provide reasonable cooperation at Finnovator's cost. Finnovator may procure continued use, modify or replace the affected item, or terminate it and refund prepaid unused Fees.
16.3 Finnovator has no obligation to the extent a claim results from Customer Data, Customer specifications, unauthorised modification or combination, continued use after notice, breach of the Agreement, or a Third-Party Service not supplied by Finnovator.
16.4 This clause states the Customer's exclusive remedy for third-party Intellectual Property Rights infringement by the Platform.
17. Liability
17.1 Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of the implied term as to title, or any liability that cannot lawfully be limited or excluded.
17.2 Subject to clause 17.1, neither party is liable for loss of profit, revenue, anticipated savings, business opportunity or goodwill, or for indirect or consequential loss. Finnovator is not liable for loss or corruption of data to the extent recoverable from backups the Customer was required to maintain, or for acts, omissions or availability of Third-Party Services.
17.3 Subject to clauses 17.1, 17.2 and 17.4, each party's total aggregate liability arising out of or in connection with the Agreement in any 12-month period will not exceed 100% of the Fees paid or payable for the affected Services in that period. For a claim arising before 12 months of paid service, the cap is the Fees paid or payable for the first 12 months.
17.4 By way of exception to clause 17.3 and subject to clause 17.1, each party's total aggregate liability for breach of clause 14 (Confidentiality), for breach of clause 11 and Schedule 2 (Data protection), and Finnovator's liability under clause 16 (Intellectual property claims), will not in aggregate exceed 200% of the Fees paid or payable for the affected Services in the 12-month period in which the first such claim arose. A higher cap applies only where expressly stated in the Order Form.
17.5 Free trials and beta services are provided without charge and, subject to clause 17.1, Finnovator's aggregate liability for them is limited to £100.
17.6 The exclusions and caps apply to all causes of action and collectively to the Agreement. Nothing makes the Customer responsible for losses caused by Finnovator's breach merely because the Customer remains responsible for its business decisions.
17.7 Finnovator maintains professional indemnity insurance and cyber liability insurance with a reputable insurer with a limit of indemnity of not less than [INSERT INSURED LIMIT] for any one claim, and will provide evidence of cover on reasonable written request. Maintaining insurance does not increase, vary or waive the limits in this clause 17.
18. Termination
18.1 Either party may terminate an affected Order Form immediately by written notice if the other party commits a material breach and, where remediable, fails to remedy it within 20 Business Days after detailed written notice; or becomes insolvent, enters administration or liquidation other than for solvent restructuring, ceases business, or is subject to an analogous event.
18.2 Finnovator may terminate an affected Order Form if an undisputed amount remains unpaid 30 days after written notice, or if continued provision becomes unlawful. The Customer may terminate as provided in clauses 4.2 and 15.2.
18.3 Termination does not affect accrued rights. Fees due up to termination remain payable. If the Customer terminates for Finnovator's uncured material breach, or Finnovator terminates because continued provision is unlawful for reasons not caused by the Customer, Finnovator will refund prepaid Fees for the unused terminated period.
18.4 On expiry or termination, access rights end and each party must cease using the other's Confidential Information except as needed for surviving obligations. Clauses intended by nature to survive do so, including clauses 1, 9, 11, 12, 13, 14, 17, 18, 19, 20 and Schedule 2.
19. Data export, return and deletion
19.1 During the Term, the Customer may use available export features. The Customer should export Customer Data before termination and remains responsible for retaining source records required by law.
19.2 For 30 days after expiry or termination, Finnovator will, on written request, make Customer Data available in a commonly used machine-readable format supported by the Platform. Standard self-service export is included; material custom extraction, transformation or migration assistance may be charged at agreed rates.
19.3 After the 30-day export period, Finnovator will delete or irreversibly anonymise Customer Data from active systems within 60 days, unless law requires retention or the parties agree otherwise. Residual copies in backups will be isolated from ordinary use and deleted through the normal backup cycle, which will not exceed 90 days from the date of deletion from active systems.
19.4 Finnovator may retain limited records necessary to establish, exercise or defend legal claims, comply with law, prevent fraud and maintain security, subject to confidentiality and data-protection obligations. Aggregated Data meeting clause 12 may be retained.
19.5 On request, Finnovator will confirm completion of deletion. Finnovator is not required to retain Customer Data beyond the periods in this clause and is not permitted to keep identifiable Customer Data for general product improvement after termination.
20. General
20.1 Notices must be in writing and sent by hand, pre-paid next-Business-Day post, or email to the addresses in the Order Form. Notices to Finnovator may be sent to legal@finnovator.co.uk. Email notices are received on transmission if sent before 5:00 pm on a Business Day and no delivery failure is received, otherwise on the next Business Day. This does not apply to service of proceedings.
20.2 The Agreement is the entire agreement concerning its subject matter. Each party acknowledges it has not relied on statements not set out in it, without limiting liability for fraud.
20.3 A variation must be in writing and agreed by authorised representatives, except Finnovator may update these online Terms for legal, regulatory, security or service changes by publishing an updated version at finnovator.co.uk and giving at least 30 days' notice to the Customer's registered administrator email address. A materially detrimental change will not apply before renewal unless required by law or security necessity; if it materially prejudices the Customer, the Customer may terminate the affected Service before it takes effect. The version and effective date of the Terms then in force are shown at the head of this document and recorded in Schedule 3.
20.4 Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations. The affected party must notify the other, mitigate the effect and resume performance. If material disruption continues for more than 60 days, either party may terminate the affected Service.
20.5 Neither party may assign the Agreement without the other's prior written consent, not to be unreasonably withheld, except either party may assign it to an affiliate or in connection with a merger, reorganisation or sale of substantially all relevant business, provided the assignee can perform the obligations. Finnovator may subcontract subject to the Agreement and DPA.
20.6 No failure or delay is a waiver. If a provision is invalid, it is modified to the minimum extent necessary and the remainder continues. Nothing creates a partnership, agency, employment or fiduciary relationship. The Contracts (Rights of Third Parties) Act 1999 does not apply.
20.7 The Agreement may be signed in counterparts and electronically. It is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except a party may seek urgent injunctive relief in any competent court.
20.8 If the Customer is dissatisfied with the Services it should raise the matter with its usual Finnovator contact or by email to legal@finnovator.co.uk. Finnovator will acknowledge within 5 Business Days and aim to give a substantive response within 20 Business Days. If the matter remains unresolved, each party will escalate it to a director or equivalent senior representative, who will meet (including by video) within a further 10 Business Days to seek resolution in good faith. This clause does not prevent either party from exercising its rights under clause 18, seeking urgent injunctive relief, or commencing proceedings once the escalation period has elapsed.
